1. FUNCTIONAL CONTENT

 

Main Role

The primary purposes of this legal counsel position is to (i) oversee all day-to-day legal corporate matters particularly focused on foreign subsidiaries of the Group and (ii) participate in non-recurrent, extraordinary corporate transactions  and reorganisations, all under the supervision and ultimate responsibility of the Legal Director of Corporate & Transactions. The role also entails participating in M&A transactions with the support of the Legal Corporate team and under the supervision of the Legal Director of Corporate & Transactions. Finally, this legal counsel position shall also be engaged with drafting contracts and providing other supporting advice that may be requested from Global Finance

 

Roles

  • Corporate advice: Be the primary contact person for all day-to-day legal corporate matters and requests of the foreign subsidiaries, consulting and handling them with the support of external legal advisors.
  • Reorganizations: Participate in in non-ordinary corporate transactions or reorganizations under the supervision of the Legal Director of Corporate & Transactions and with the support of external legal advisors.
  • M&A advice: Participate in due diligence phase from seller’s and buyer’s side. Provide support in drafting, negotiating and formalizing all kind of customary agreements in an M&A transaction (NDA, SPA, APA, TSA, guarantee agreements, W&I policies, etc.) within the Legal Corporate Department and under the supervision of the Legal Director of Corporate & Transactions and Chief Legal Officer and with the support of external advisors.
  • Post-M&A corporate advice: Provide corporate advice to post-M&A integration initiatives or projects with the support and under the supervision of the Legal Director of Corporate & Transactions.
  • Global Finance support: Draft, negotiate and formalize all kind of agreements as per the needs of the Global Finance department (NDA, provision of services, treasury and financing agreements, etc.) with the support and under the supervision of the Legal Director of Corporate & Transactions.
  • Relationship with External counsels: Liaise with and monitor external counsels.
  • Legal awareness: Monitor legal developments and provide awareness to the Company.

3. JOB PROFILE

 

  • Required Studies:
    • Degree in Law obtained in a Spanish university.
    • If applicable, Máster en Abogacía y Procura obtained in a Spanish university.
    • If applicable, successful outcome in State exam.
  • Other specialized knowledge:
    • Post graduate studies or courses in Corporate law, M&A or commercial contracts are a plus.
  • Languages:
    • Native or full proficiency in Spanish, written and spoken.
    • Professional proficiency in English, written and spoken.
    • Fluency in Catalan, written and spoken, is a plus.
  • Professional experience:
    • 3 to 5 years of experience in a reputed law firm and exposure to multinational and multi-disciplinary environments.
    • Solid experience in Corporate, Reorganizations and, to a lesser extent, M&A and commercial contracts is a must.
    • Knowledge of Pharmaceutical/Healthcare industry is a plus.
